FitClips Terms of Service

These Terms of Service ("Terms") govern access to and use of the FitClips platform, including fitclips.app, fitclips.link, trainer-branded pages, and related applications and services (collectively, the "Platform").

The Platform is operated by WebAI Hungary Kft ("FitClips", "we", "us", or "our"), registered at Hungary, 1065 Budapest, Revay koz 4.

By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What FitClips Provides

FitClips provides software that helps trainers publish digital fitness content and sell digital products and app-based subscription access, and helps members purchase and use that content.

The Platform includes:

• Trainer admin tools for products, members, and branding
• Public landing pages and checkout flows
• Member dashboards for purchased content and subscription access
• Stripe-powered one-time and recurring payments

FitClips checkout is for digital content products and digital subscriptions delivered through the Platform (for example programs and workout-library access). FitClips checkout is not for selling in-person training, or other offline personal services.

FitClips is a software provider. Unless we explicitly state otherwise, trainers are the merchant of record for their own offerings.

2. Eligibility and Accounts

You may use the Platform only if:

• You are at least 18 years old (or the age of majority where you live)
• You can enter into a binding legal agreement
• You provide accurate account information

You are responsible for account security and all activity under your account. You must notify us promptly at info@fitclips.app if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, applicable law, or Platform security requirements.

3. Trainer Terms

If you use the Platform as a trainer, you are responsible for:

• Product setup, pricing, published descriptions, and marketing claims
• Ensuring you have rights to all uploaded content
• Keeping your Stripe account in good standing if you accept payments
• Delivering purchased access as offered to members
• Using FitClips checkout only for digital products and digital subscription access (not personal training or other offline services)
• Compliance with applicable consumer, tax, and advertising laws

You must not publish unlawful, infringing, deceptive, or harmful content.

4. Member Terms

If you use the Platform as a member:

• Program purchases are digital one-time charges
• Membership/workout-library access is digital and may be recurring and auto-renewing
• Subscription billing, payment methods, cancellations, and invoices may be managed through Stripe Customer Portal when enabled

Your access may change based on purchase and subscription status (for example active, past due, paused, or canceled).

5. Payments, Billing, and Refunds

Payments are processed by Stripe. By purchasing through the Platform, you also agree to applicable Stripe terms and policies.

For clarity, FitClips checkout supports digital goods and digital subscription access only.

• Prices and currency are shown at checkout
• Recurring subscriptions renew automatically until cancellation takes effect
• Failed, reversed, or disputed payments may result in access suspension or revocation where legally allowed

Refunds are determined by the applicable trainer refund policy and mandatory law.

• Trainers must clearly disclose refund and cancellation terms before purchase
• Full refunds may result in loss of access to the refunded product or subscription
• Partial refunds do not automatically change access unless explicitly stated

Because trainers are usually the merchant of record, members should contact the trainer first for product-specific billing and refund questions.

FitClips may still apply technical access changes based on verified payment events (for example full refunds reported by Stripe).

6. Content and Intellectual Property

FitClips and its platform software, branding, and features are owned by WebAI Hungary Kft or its licensors.

Trainer content remains owned by the trainer (or their licensors). Trainers grant FitClips a limited, non-exclusive, worldwide, royalty-free license solely to store, host, and display that content to the trainer and the trainer's authorized members through the Platform. FitClips does not acquire ownership of trainer content and does not use trainer content as its own content.

Members receive a limited, non-transferable license to access purchased content for personal, non-commercial use only.

7. Acceptable Use

You agree not to:

• Violate laws or third-party rights
• Misrepresent identity, payment authorization, or account ownership
• Scrape, reverse engineer, or attempt unauthorized access
• Upload malware, spam, or abusive/fraudulent content
• Resell or redistribute paid content without permission

We may investigate violations and take action, including suspension, termination, and legal referral.

8. Health and Fitness Disclaimer

Fitness content on the Platform is for informational and educational purposes and is not medical advice.

Always consult a qualified healthcare professional before starting or changing exercise, nutrition, or wellness routines. You use fitness content at your own risk.

9. Third-Party Services

The Platform relies on third-party services, including Stripe for payment processing. We are not responsible for third-party outages, policies, or service changes outside our control.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, FitClips and its affiliates, officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total liability for claims related to the Platform will not exceed the amount paid by you to FitClips in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless WebAI Hungary Kft and its affiliates, officers, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these Terms or applicable law.

13. Suspension and Termination

We may suspend or terminate access if you violate these Terms, create legal or security risk, or misuse the Platform.

You may stop using the Platform at any time. Provisions that by nature should survive termination (for example payment, IP, disclaimers, liability limits, and indemnification) remain in effect.

14. Governing Law and Disputes

These Terms are governed by the laws of Hungary, without regard to conflict-of-law principles.

Any dispute arising from these Terms or use of the Platform will be submitted to the competent courts of Budapest, Hungary, unless mandatory law requires a different forum.

15. Miscellaneous

• These Terms, together with policies referenced in them, form the entire agreement between you and us about the Platform.
• If any provision is found unenforceable, the remaining provisions stay in effect.
• Our failure to enforce a provision is not a waiver of that provision.
• You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or asset transfer.

16. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted, unless a different date is stated. Continued use of the Platform after changes take effect means you accept the updated Terms.

17. Website and Checkout Disclosure Requirements

To reduce customer confusion and payment disputes, trainers must keep public pages and checkout disclosures clear and accurate, including:

• What is being sold (clear digital product/subscription descriptions)
• Purchase currency shown before payment
• Direct support contact details
• Refund, cancellation, and access/fulfillment terms
• Any legal, geographic, or export restrictions
• A privacy policy explaining data handling
• Business identity details (including business address where applicable)
• Terms for discounts, promotions, and free trials
• Secure payment handling (including HTTPS and Stripe/PCI-DSS aligned practices)
• Accepted payment methods/card brands where shown

Trainers remain responsible for compliance with applicable card-network rules and consumer-protection laws.
